Terms of Service

These terms are the agreement between you and MLTS Canada for the use of Smart-Invoicer. By creating an account or using the service you accept them.
1. What the service is
Smart-Invoicer is a web application for creating estimates and invoices, recording payments, managing customers and producing tax reports, built for businesses operating in Canada. We provide the software. You are responsible for what you put into it and for the documents you send.
2. Your account
You must give accurate business information and keep it current. You are responsible for everything done under your account and for keeping your password to yourself. Tell us promptly at deep@mltscanada.ca if you believe someone else has access to it.
One account is for one business. Accounts may not be shared between separate businesses.
3. Subscription, billing and renewal
The paid plan is billed monthly in Canadian dollars and renews automatically until you cancel. The price in effect when you subscribe is shown on the checkout page before you pay.
Payments are processed by Stripe. Your card is charged on the day you subscribe and on the same day each following month. If a payment fails, Stripe will retry over several days; your access continues during that period, and if payment ultimately fails your account reverts to the free tier.
You can cancel at any time. Cancelling stops future charges and your paid access continues to the end of the period you have already paid for. We do not delete your data when a subscription ends — your invoices and records remain available.
4. Refunds
Because the plan is monthly and can be cancelled at any time, we do not generally refund periods already started. If you were charged in error, charged after cancelling, or the service was unavailable for a meaningful part of a billing period, write to deep@mltscanada.ca and we will put it right.
5. Price changes
We may change the price of the plan. If we do, we will give you at least thirty days' notice by email before it affects you, and you may cancel before the new price takes effect.
6. Your data belongs to you
The customer records, estimates, invoices and payment history you create are yours. We claim no ownership over them. We access them only to operate the service, to fix a problem, or where you ask us to. You can ask for an export at any time.
7. Tax calculations — read this one
Smart-Invoicer calculates Canadian sales taxes — GST, HST, PST, RST and QST — using the rates and rules configured in the system. We take this seriously and we test it.
But you remain responsible for the accuracy of your own tax filings. Rates change, provincial rules change, and only you know which of them apply to a given sale. Review your invoices and your tax reports before you rely on them for a filing, and take advice from your accountant. We provide a tool; we do not provide tax advice, and we are not your accountant.
If you believe the system has calculated a tax incorrectly, tell us immediately. We will investigate it as a priority.
8. Acceptable use
You may not use Smart-Invoicer to:
- send invoices for goods or services you have not provided, or otherwise defraud anyone;
- send unsolicited bulk email through the system;
- store or transmit unlawful material;
- attempt to access another account's data, or probe, scan or test the security of the service;
- resell or white-label the service without our written agreement.
We may suspend an account that does any of these, and will tell you why.
9. Availability
We aim to keep the service available and to keep your data safe, and we take backups. We do not promise uninterrupted availability. Maintenance, hosting failures and circumstances outside our control can all cause downtime. We will give notice of planned maintenance where we reasonably can.
10. Limitation of liability
The service is provided as it is. To the extent the law allows, MLTS Canada is not liable for indirect or consequential loss, including lost profits or lost business. Where liability cannot be excluded, our total liability is limited to the amount you paid us in the twelve months before the claim arose.
Nothing in these terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.
11. Ending the agreement
You may stop using the service and close your account at any time. We may end this agreement if you breach these terms and do not fix it after we ask, or if we discontinue the service — in which case we will give you reasonable notice and a way to export your data.
12. Changes to these terms
We may update these terms. The date at the top of this page shows when they last changed. If a change materially affects your rights we will tell you by email before it takes effect.
13. Governing law
These terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada that apply there, and the courts of Saskatchewan have jurisdiction.
